Effective Date: September 13, 2025
WARNING: Membership in AI Angels Group ("AAG") is a privilege, not a right. Members are granted access to confidential startup information, investor information, business opportunities, proprietary analyses, and other non-public materials. Any unauthorized disclosure or misuse of Confidential Information may result in immediate and permanent termination of access and legal action.
By accessing, visiting, registering for, or otherwise using any portion of the AI Angels Group platform (the "Platform"), each individual or legal entity ("Member," "User," or "You") agrees to be bound by these Terms of Service and Non-Disclosure Agreement ("Agreement"). If you do not agree to all of these terms, you must immediately discontinue use of the Platform.
AI Angels Group reserves the right to modify, supplement, or replace this Agreement at any time. Changes become effective immediately upon publication. Continued use of the Platform constitutes acceptance of any revised terms.
Confidential Information means all non-public information disclosed by AI Angels Group or by any Member, including but not limited to startup submissions, business plans, executive summaries, financial information, investment opportunities, investor identities, valuations, source code, trade secrets, security procedures, platform architecture, communications, analyses, documentation, and any information that would reasonably be considered confidential.
Disclosure means any unauthorized copying, sharing, publishing, transmitting, reproducing, forwarding, distributing, displaying, or making Confidential Information available to any third party by any means.
As a condition of membership, you agree that:
Unauthorized Disclosure. Any unauthorized disclosure of Confidential Information constitutes a material breach of this Agreement. AI Angels Group may immediately suspend or permanently terminate access, require the return or destruction of confidential materials, seek injunctive relief, recover damages, legal fees, and pursue any other remedies available under applicable law.
All software, source code, trademarks, logos, branding, databases, documentation, website content, designs, graphics, analyses, and other intellectual property owned by AI Angels Group remain the exclusive property of AI Angels Group or their respective owners. Nothing contained within the Platform grants any ownership rights except as expressly stated.
Startup founders retain ownership of their respective intellectual property. Submission of materials to AI Angels Group does not transfer ownership. Members receiving access to startup materials acknowledge that such information is confidential and may not be copied, shared, reproduced, reverse engineered, or used for any purpose other than evaluating potential investment opportunities expressly permitted by the Platform.
The Platform and all information made available through AI Angels Group are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, completeness, or accuracy. Investment opportunities presented through the Platform do not constitute investment advice, legal advice, accounting advice, tax advice, or recommendations to buy or sell any security or asset.
To the fullest extent permitted by law, AI Angels Group and its officers, directors, employees, contractors, advisors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business opportunities, goodwill, data, or investments arising from use of the Platform or reliance upon information provided through the Platform.
AI Angels Group may suspend or terminate any account or membership at any time, with or without notice, for any reason or no reason whatsoever. Termination does not affect any confidentiality obligations or other provisions intended to survive termination.
This Agreement shall be governed by and construed under the laws of the State of California, United States of America, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the state and federal courts located within California for any dispute arising from or relating to this Agreement.
FINAL NOTICE: AI Angels Group exists to facilitate trusted relationships between founders, investors, and advisors. Protecting confidential information is fundamental to that mission. Any attempt to circumvent these obligations, misuse confidential information, or compromise the security or integrity of the Platform may result in immediate termination of membership and pursuit of all remedies available under applicable law.
